1. Acceptance of Terms

By creating an account, clicking "I agree," or otherwise accessing or using our Services, you represent that:

• You are at least 18 years old;
• You have the legal capacity to enter into a binding agreement;
• You are using the Services for lawful business or personal purposes;
• You agree to comply with all applicable laws and regulations.

2. Description of Services

Postify is a cloud-based social media management platform that enables users to schedule, publish, and analyze content across 28+ social media networks including but not limited to Twitter/X, Instagram, TikTok, LinkedIn, Facebook, YouTube, Pinterest, Reddit, Threads, Bluesky, Discord, Telegram, and others.

Our Services include:

• Content scheduling and auto-publishing;
• AI-powered content creation and suggestions;
• Social media analytics and reporting;
• Team collaboration and approval workflows;
• Media library and asset management.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Keep your password secure and not share it with third parties;
• Notify us immediately of any unauthorized use of your account;
• Be solely responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

4. Subscriptions and Payment

Postify offers free and paid subscription plans. By subscribing to a paid plan:

• You authorize us to charge the applicable subscription fees to your payment method on a recurring basis;
• Subscription fees are billed in advance on a monthly or annual basis;
• All payments are processed through secure third-party payment processors;
• All payments are final and non-refundable, unless otherwise required by applicable law;
• We reserve the right to change pricing with 30 days' notice. Continued use after notice constitutes acceptance of new pricing.

Free Trial: New accounts may be eligible for a 7-day free trial. At the end of the trial period, your account will automatically convert to the selected paid plan unless you cancel before the trial ends.

5. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@postify.nz. Upon cancellation:

• You will retain access to paid features until the end of your current billing period;
• No further charges will be made after the billing period ends;
• Your data will be retained for 30 days before deletion, after which it cannot be recovered.

6. Third-Party Social Platforms

Postify integrates with third-party social media platforms ("Social Networks") via their official APIs, including the TikTok API, Meta APIs, X (Twitter) API, LinkedIn API, and others. By connecting your Social Network accounts:

• You grant Postify permission to access and interact with your Social Network accounts on your behalf, solely to provide the Services;
• You agree to comply with each Social Network's terms of service and community guidelines;
• You acknowledge that Postify is not affiliated with any Social Network and is not responsible for their services, availability, or policies;
• You may revoke Postify's access to any Social Network account at any time through that platform's settings;
• Postify does not store your Social Network passwords and uses only authorized OAuth tokens.

Content published through Postify remains subject to each Social Network's terms of service. We are not liable for content removed, restricted, or penalized by any Social Network.

7. Acceptable Use

You agree not to use Postify to:

• Publish content that is illegal, defamatory, obscene, harassing, or infringing on third-party rights;
• Engage in spam, mass unsolicited messaging, or artificial engagement manipulation;
• Violate any Social Network's terms of service or platform policies;
• Attempt to gain unauthorized access to our systems or other users' accounts;
• Reverse engineer, decompile, or create derivative works from our software;
• Use automated means to scrape, crawl, or extract data from our Services;
• Impersonate any person, entity, or brand;
• Interfere with or disrupt the integrity or performance of the Services.

We reserve the right to suspend or terminate accounts that violate these rules, without prior notice.

8. Intellectual Property

All content, features, and functionality of Postify — including but not limited to text, graphics, logos, icons, images, software, and design — are the exclusive property of Postify LLC or its licensors, protected by applicable intellectual property laws.

You retain ownership of all content you create and publish through our Services. By using our Services, you grant Postify a limited, non-exclusive license to store, display, and transmit your content solely as necessary to provide the Services.

You may not reproduce, distribute, or create derivative works from Postify's proprietary content without prior written permission.

9. Cookies

Postify uses cookies and similar tracking technologies to operate and improve our Services, analyze usage patterns, and deliver relevant content. By using our Services, you consent to our use of cookies in accordance with our Privacy Policy.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, POSTIFY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We make no representations about the accuracy, reliability, or completeness of any content on the platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POSTIFY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO POSTIFY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 NZD IF YOU HAVE NOT MADE ANY PAYMENTS.

12. Indemnification

You agree to defend, indemnify, and hold harmless Postify LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to:

• Your use of the Services;
• Your content published through the Services;
• Your violation of these Terms;
• Your violation of any third party's rights.

13. Newsletter

By creating an account, you may receive product updates, tips, and promotional communications from Postify. You can unsubscribe at any time by clicking the unsubscribe link in any email or by contacting us at support@postify.nz.

14. Changes to Terms

We may update these Terms at any time. When we make material changes, we will notify you by email or by displaying a prominent notice in the Services. The updated Terms will take effect upon posting. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

16. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Postify's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Postify LLC regarding the Services and supersede all prior agreements and understandings.
